The rules that govern your use of Artventori's tools for managing artwork, producing showcases, and collaborating with collectors.

These Terms of Service (the "Terms") govern your access to and use of Artventori Inc.'s platform ("Artventori," "we," "us," or "our"). By creating an account or using our services, you agree to these Terms. If you are using Artventori on behalf of an organization, you confirm that you have authority to bind that organization and that these Terms apply to it.

Our services

Artventori provides tools for managing artwork inventory, producing digital showcases, applying magic edits to media, and sharing collections privately or publicly. We may add, change, or discontinue features from time to time. If a change materially reduces core functionality, we will provide notice through the app or by email when feasible.

Eligibility and account responsibilities

You must be at least 16 years old to use Artventori.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate information when creating your account and to keep it current.
You will promptly notify us of any unauthorized use or security incident. We are not liable for losses arising from compromised credentials that result from your actions or omissions.

Acceptable use

Do not upload content that you do not have the right to use or share.
Do not infringe, misappropriate, or violate the rights of others, including privacy, publicity, or intellectual property rights.
Do not attempt to reverse engineer, disrupt, or impair the normal operation or security of the service.
Do not misuse shared links or access controls to circumvent privacy settings set by other users.
Do not use the service for unlawful purposes or to publish deceptive, hateful, or harmful content.

Subscriptions, trials, and payments

Free accounts include limited quotas (currently 40 artworks, 5 showcases, and 3 lifetime magic edits) and remain active until you choose to upgrade or close your account.
Creator and Gallery plans add larger quotas and paid capabilities, including Gallery-only intake forms and multi-profile/location management.
Paid plans are billed according to the cadence you select. Fees are non-refundable except where required by law.
Promotional trials provide temporary access to paid features. When a trial ends, continued access requires starting a paid plan.
Payments are processed by our third-party provider. You authorize recurring charges for your selected plan until you cancel. You can manage or cancel your plan through the account billing page.
We may change pricing with notice. Price changes will apply to subsequent billing cycles after notice takes effect.

Intellectual property

You retain all rights to the artwork and content you upload to Artventori.
You grant Artventori a limited, non-exclusive license to host, display, and process your content solely to provide and support the services (for example, creating responsive showcases, generating alternate views, and delivering shared links).
Except for the rights you grant, Artventori retains ownership of the platform, including our trademarks and software.

Privacy

Our use of personal information is described in the Artventori Privacy Policy. By using the services, you consent to our handling of information as outlined there.

Termination

You may stop using Artventori at any time. We may suspend or terminate access if you violate these Terms, use the services in a way that risks harm, or if required by law. Upon termination, your right to use the services ends, but the following sections continue to apply: Intellectual property, Disclaimers, Limitation of liability, Indemnity, and Governing law.

Disclaimers

Artventori is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Artventori and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill arising from your use of the services. Our total liability for any claim is limited to the amount you paid for the services in the twelve months preceding the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Artventori and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your content, your use of the services, or your violation of these Terms or applicable law.

Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Toronto, Ontario, unless another forum is required by applicable law.

Changes to these Terms

We may update these Terms from time to time. If changes materially affect your rights or obligations, we will provide notice through the app or via email when possible. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
